The Thornell Law Firm has, since 1970, maintained an active practice dealing with all aspects of exploration, development activities, and production associated with oil and gas throughout the State of Louisiana. Our practice has included representation of landowners, large and small, and includes the negotiation of oil and gas leases with emphasis on optimization of surface rights for the client and with emphasis on the client's ability to retain the maximum royalty over the life of the lease together with advice and counsel concerning specific lease provisions which inure to the long-term benefit of both the mineral owner and the surface owner.

The Firm engages in the negotiation on behalf of lessors' specific oil and gas lease provisions which are necessary to preserve the future integrity and maximize benefit for the mineral interest involved. G. Warren Thornell has over ten years legal experience as “In-House Counsel” where he represented several Gulf Coast regional companies and large independents and was actively involved in all aspects of oil and gas law from lease acquisition through and including the downstream legal work which included ensuring the Client adhered to the law during the life of an oil and gas property.

Mr. Thornell also has been actively involved as a member and officer of the American Association of Professional Landmen. He has been certified by the national organization as a Professional Landman since 1973. As an adjunct to The Firm's other practice areas, we provide legal services to the Oil and Gas Industry which include:

Title Examination

The Firm's practice includes preparation of  “Stand-Up” title examination in all parishes within the State of Louisiana north of Louisiana Highway 190.  With a team of highly professional and experienced abstractors and landmen on call, The Firm has the ability to search pertinent courthouse records and move quickly on a proposed drill site title examination request and can move rapidly on an examination of title based on abstract compilation commencing with the pre-drilling title examination through and including the final division order title examination.  The Firm has accumulated a vast archive of abstracts and prior title opinions covering several parishes and previously prospective areas throughout North Louisiana and would serve as the basis for further title examination should the need arise.           

Transactional and Contract Preparation Activity

The Firm’s practice has since 1970 included representation of independent operators and Majors in not only representation for litigation purposes, but in all areas of transactional work and contract preparation associated with the oil and gas industry including preparation of non-standard operating agreements, the review and preparation of subleases and farmout agreements as well as acreage contribution agreements or dry hole support contribution agreements.

The Firm’s post-drilling legal support of the oil and gas industry in the Gulf Coast region includes representation for satisfied clients on areas dealing with:

  1. Non-Standard Joint Operating Agreements
  2. Gas Purchase Agreements
  3. Salt Water Disposal Agreements and issues associated with this activity
  4. Seismograph contracts and issues associated with landowners and seismic contractors
  5. Due diligence activity associated with acquisition and/or divestment of producing oil and gas properties.
  6. Farmout Agreements and Subleases

Litigation

Since 1970, The Firm has successfully litigated cases involving the question of whether an oil and gas well has produced in paying quantities, particularly for marginally producing wells and has acted as counsel of record for both plaintiffs and defendants in addressing these types of questions.  In fact, Mr. Thornell was involved in Ben G. O’Neal and Sally Adrienne O’Neal Webb v. JLH Enterprises, Inc., et al, 862 So.2d 1021 (La.App.2Cir2003), a landmark case that continues to impact the law in this area.

The Firm has also been heavily involved in numerous unreported suits dealing with boundary disputes and questions involving bad faith and good faith acquisitive prescription.  Mr. Thornell frequently lectures on the subject of boundary disputes and also on the subject of tax sales and the validity of such tax sales following a Sheriff’s Sale as well as questions related to tax redemption issues and monition suits.
